Help on LDD software upgrade

I run LDD 2000 w/ Survey and Civil add-ons. This version does not seem compatable with Win XP and can not load it on my Win XP mainframe. Am thinking of "bitting the bullet" and upgrading but am worried about file compatability, especiallay with the Civil 3d software. Also, what kind of "learning curve" might I expect?

Anyone "been there"?
