Hi all,

I'm a structural engineer in Florida considering starting an LLC to go out on my own - single man firm. For what stages of the incorporation do I need to consult a lawyer? The articles of organization for Florida seem pretty straight forward, and I was thinking (maybe naively) that this is something I can do through an online service (legalzoom, etc). Same with the operating agreement. Looking for any and all opinions and recommendations.

Note that LLC generally does not protect you from PE liability since that is a personal liability. Note also that Uncle Sam will extract ~$800/yr on taxes regardless of whether you made a profit or not.

It is pretty easy in Florida, and you could actually do it yourself without a lawyer. But if you're going to do it, I would recommend finding an attorney. Always best to get off to the best start you can. If you have any inclination toward growing this business, bringing in partners in the future, etc., best to make sure you're laying the appropriate groundwork. It's also very helpful to have a good attorney. My attorney specializes in estate planning, but has specialists in his office that do corporate and real estate. And then he's very well connected with the rest of the region's legal and business community, and will gladly connect me with anyone doing anything anywhere. An attorney can also advise you on the best structure to use given your circumstances and the law.

Also worth looking into the tax implications, of course.
