Xref Binding Problems

It seems everytime I try to bind a reference file, Acad comes back with an "*Invalid*" and will not let me. Is there a specific setting or way to bring in reference files so that the program will actually bind them.

Maybe You have a block with the same name inside Your *.dwg????
