Autocad treats dxf files fairly closely as it's own file type.

1) Click open like you would normally.
2) At the bottom of the pop-up screen, change the filetype to DXF.
3) Then choose the file.

Or
you can just double click on the file while in Explorer.

Dxf files are pure ASCII text files, or should be. They consist of many short lines of numbers and text. If the files were ever opened in Word or other program and saved, even unintentially, it may have lots of "bad" characters that AutoCAD will reject. You would need to re-open and re-save as a "txt" file, enclosing the filename.dxf in quotation marks to keep the filename as you want it.

Just type DXFIN in the command line and select the DXF file you wish to open. After its opened you can then save it as DWG
